JioKrishi End User License Agreement

This End User License Agreement (“EULA”) is a legal agreement between you and Jio Things Ltd for the use of the wireless device (“Device”) to track, record and monitor various parameters of your agricultural plot, including the software forming part of and/or used for the Device (“Software”). The Device is used to track, record and monitor parameters accessible via the mobile app called ‘JioKrishi app’ (“Platform”) developed by Jio Things Ltd. This Device requires preloaded Software in its normal operation. BY USING THE DEVICE, YOU ACCEPT THE TERMS OF THIS EULA. IF YOU DO NOT ACCEPT THE EULA, DO NOT USE THE DEVICE.

By signing up for or using the Device, you acknowledge that you have read, understood and consent to be governed and bound by this EULA. This EULA is an electronic record under the Information Technology Act, 2000 and rules thereunder, published per Rule 3(1) of the IT (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021, and requires no physical or digital signature.

Please refer to the privacy policy of the Device (Privacy Policy) and the terms of use of the Platform (Terms of use). Your use/view of data via the Device may be subject to the privacy policy and terms of use as published and amended from time to time.

Modification of Terms: Jio Things Ltd may change the EULA under which the Services are offered, including any charges; the EULA may be modified based on business, legal and regulatory changes and updated online, and you will be notified. Modification of Services: Jio Things Ltd may add, modify or delete any features in the Device at any time at its sole discretion.

Subject to your compliance with this EULA, Jio Things Ltd grants you the rights to: (i) install, use and access the Device and Software; and (ii) view the data available on the Platform. Jio Things Ltd grants you a non-exclusive, revocable, limited license to use the Device and Software on the terms set forth. Any unauthorised use terminates the permission or license granted.

Jio Things Ltd reserves all rights not expressly granted to you in this EULA. The Device is protected by copyright and other intellectual property laws. Jio Things Ltd or its suppliers own the title, copyright and other intellectual property rights in the Device including the Software. The Device is licensed, not sold.

You may not reverse engineer, decompile, disassemble or otherwise attempt to discover the source code or algorithms of the Device (except as expressly permitted by law), modify or disable any features, or create derivative works. You may not rent, lease, lend, sublicense or provide commercial hosting services with the Device. You agree to adhere at all times to the prohibitions in this clause. You shall not use the Device to host, display, upload, modify, publish, transmit, update or share information that: belongs to another to which you have no right; is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of privacy, hateful, racially/ethnically objectionable, related to money laundering/gambling or otherwise unlawful; is misleading; is patently offensive; harasses or advocates harassment; involves junk/chain mail or spamming; promotes illegal activity; infringes any third-party rights; promotes unauthorized copies of copyrighted work; provides instructions for illegal activities; solicits gambling; harms minors; violates any law; impersonates another; contains viruses/malicious code; or threatens the unity, integrity, defence, security or sovereignty of India or public order.

Jio Things Ltd may provide or make available updates, upgrades, supplements and add-on components (bug fixes, service upgrades, updates and enhancements, including entirely new versions) (collectively “Update”) to improve the Software and your experience. An Update may add new functions and, in some cases, delete existing functions. Your Device downloads some updates automatically where necessary for improved performance, feature enhancements, or critical/security fixes. Downloading via cellular network may incur additional charges. You can check for new Updates via the “Software Update” menu in Settings.

You shall not transfer this EULA or the rights granted herein to any third party without the prior written consent of Jio Things Ltd.

This EULA is effective until terminated. Your rights terminate automatically without notice if you fail to comply with any terms. Upon termination, you must cease all use of the Device including the Software. The Company reserves the right to suspend and/or terminate your access to the Services in case of any non-adherence to the EULA.

You are supposed to use the Device and features made available per the Device manual. Jio Things Ltd shall not be responsible for any changes in services or performance of the Device caused by activation of any unauthorized features.

Jio Things Ltd shall not be liable under any circumstances for any loss of earning, loss of reputation, loss of revenue, death or any illness of cattle, loss of profit, or any indirect, incidental, special, consequential or punitive damages arising out of or relating to use of the Device. You are solely responsible for obtaining and maintaining the Device and ancillary services (including payment of additional fees) required to connect to, access or use the Device, including hardware, servers, additional software, operating systems, networking and internet (“Equipment”), and for maintaining Equipment security and all uses of it with or without your knowledge or consent. Jio Things Ltd and its affiliates make no representations about the suitability, reliability, availability, timeliness or accuracy of the information, Device and related data on the Platform for any purpose.

This EULA is governed by the laws of the Republic of India.

Any claim or dispute shall be referred to an arbitration tribunal of two arbitrators, one appointed by each party, who shall appoint a third (presiding) arbitrator, in accordance with the Indian Arbitration and Conciliation Act, 1996 and Rules thereof. The venue of arbitration shall be Mumbai; the arbitral award shall be final and binding on both Parties; the language of arbitration shall be English.

All disputes shall be governed under the laws of India and are subject to the jurisdiction of the Courts of Mumbai only.

Jio Things Ltd shall be under no liability whatsoever in the event of non-availability of any portion of the Services occasioned by act of God, war, disease, revolution, riot, civil commotion, strike, lockout, flood, fire, failure of any public utility, man-made disaster, infrastructure failure or any other cause beyond the control of Jio Things Ltd.
